Bergstein renders professional services in all aspects related to corporate and business law. The Firm advises on all legal matters involving the establishment, operation and winding-up of companies, trusts, associations and non-profit entities. On a regular basis, the firms is called upon to handle mergers and acquisitions, spin-offs, incorporations, capital increases and capital reductions, share purchase agreements, joint ventures, shareholders agreements, and filing and maintenance of government permits and licenses.
Through correspondent firms abroad, Bergstein provides offshore and fiduciary services, working with trusts, private foundations and other offshore vehicles in multiple jurisdictions.
The Firm has participated in several visible projects in the corporate area, such as:
- Legal assistance to the initial purchasers in the issuance of U$S 200,000,000 Senior Secured Guaranteed notes issued by the Corporación America group, which runs the Carrasco International Airport concession.
- Legal support to an international duty-free shop company in the establishment of a joint venture with a local group of the same business line.
- Advice to a multinational company in the negotiation and execution of an EPC contract for the construction of a pulp mill, in which later became the largest private investment in Uruguay until today.
- Advice to the third largest German energy company in the establishment of its operations in Uruguay jointly with a group of local investors for the development of wind farms in Uruguay.
- Due diligence processes conducted in virtually the entire spectrum of industries and activities in Uruguay.
